NOTICE: PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. Your use of the JULIANA SUTTON website (hereinafter referred to as “THE WEBSITE”), and the Services provided by JULIANA SUTTON is governed by these Terms and Conditions (hereinafter “Agreement”). You as the user of the services (hereinafter “CLIENT”) agree that you are at least 18 years of age and will comply with and be bound by this Agreement as well as the PRIVACY POLICY. CLICK HERE to view the Privacy Policy. If you do not agree to be bound by this Agreement and the Privacy Policy in their entirety, you are not authorized to access and/or use the Services. The Services provided by JULIANA SUTTON may not be used by residents of any jurisdiction where such use is prohibited.
1. Acceptance of Agreement. This Agreement is the entire agreement between CLIENT and JULIANA SUTTON and CLIENT’S use of the Website and Services. This Agreement supersedes any and all prior or contemporaneous agreements, representations, warranties and understandings, whether written or oral. JULIANA SUTTON may amend this Agreement from time to time, in its sole discretion, without specific notice to CLIENT. The most recent version of the Agreement will be posted on the Website. CLIENT’S continued use of the Website and the Services constitutes CLIENT’S acceptance of all of the terms and conditions contained within the Agreement effective at that time, as and CLIENT’S acknowledgment of the reasonableness of these standards for notice of changes. JULIANA SUTTON encourages CLIENT visit review this Agreement from time to time for any updates or changes.
Description of Services. JULIANA SUTTON provides yoga, oracle, tarot and other entertainment services (“Services”), including online and live services and other content. CLIENT’S use of the Services and CLIENT’S use of the JULIANA SUTTON website (www.julianasutton.wixsite.com/yogaoracle) including, without limitation, all content, information, text, questions, comments, ideas, graphics, images, tools, and software programs contained in the Website and related materials, is governed by this Agreement. JULIANA SUTTON may, at its sole discretion, amend, modify, or discontinue, from time to time, any of the Services and/or introduce new Services. JULIANA SUTTON shall not be liable for any loss suffered by CLIENT resulting from any such changes made and CLIENT shall have no claims against JULIANA SUTTON in such regard. No advice or information, whether oral or written, obtained by CLIENT from JULIANA SUTTON or in the Website shall create any warranty, representation or guarantee not expressly stated in these Terms of Use. JULIANA SUTTON makes no warranty or representation that availability or use of the Services will be uninterrupted or error-free. The information provided on, from or through JULIANA SUTTON, its Services and the Website is provided "as-is" and "as available", and all warranties, express or implied, are disclaimed (including, but not limited to, the disclaimer of any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement). JULIANA SUTTON, the Website, Services, and other related information may contain bugs, errors, problems or other limitations. JULIANA SUTTON has no liability whatsoever for CLIENT’S use of the Services, Website, and related information.
2. Transferability. Juliana Sutton may transfer or assign any and all of its rights and obligations hereunder to any third party. Without derogating from the above, the JULIANA SUTTON Website and/or any of the Services may be operated by third parties. CLIENT may not transfer, assign or pledge in any manner whatsoever any of CLIENT’S rights or obligations under these Terms.
3. Termination & Cancellation. CLIENT agrees that JULIANA SUTTON in its sole discretion, may terminate this Agreement and/or suspend CLIENT’S account (or any part thereof) at any time, without notice to CLIENT, in the event that JULIANA SUTTON 1) reasonably believes that CLIENT is in breach of the Agreement; 2) reasonably believes that CLIENT has provided incomplete, inaccurate or untrue registration information; or 3) decides to discontinue offering a service; (4) any conduct that JULIANA SUTTON in its sole discretion determines to be improper; or (5) without reason. CLIENT may cancel CLIENT’S account at any time. Upon cancellation, CLIENT’S membership to use the Services as set forth herein shall immediately terminate. If JULIANA SUTTON terminates this Agreement or suspends CLIENT’S account for any of the reasons set forth in this Agreement,JULIANA SUTTON shall have no liability or responsibility to CLIENT, and JULIANA SUTTON will not refund any amounts previously paid and CLIENT forfeits all unused pre-paid minutes and accrued promotions that may remain in CLIENT’S account. CLIENT understands and agrees that cancellation of CLIENT’S account is CLIENT’S sole right and remedy with respect to any dispute with JULIANA SUTTON.
4. Privacy and Use of Information. By using the services offered by JULIANA SUTTON, CLIENT acknowledge that they have had the opportunity to review the JULIANA SUTTON Privacy Policy and have either done so or waived their right to do so, and that they understand and agree to all terms contained in our Privacy Policy. CLIENT acknowledges that (a) JULIANA SUTTON cannot ensure the security or privacy of information or documents that CLIENT provides through the Website, App or mobile phone system (or via CLIENT’S mobile carrier), and CLIENT releases JULIANA SUTTON from any and all liability in connection with the use of such information by other parties; (b) JULIANA SUTTON is not responsible for, and cannot control, the use by third parties of any information which is provide to them and CLIENT acknowledges they should use caution in selecting the personal information CLIENT provides to others; and (c) Juliana Sutton cannot assume any responsibility for the content of messages sent by other users of the Service. 5. Third Party hyperlinks. JULIANA SUTTON may contain links or embedded material to third party content, as well as built-in dashboards to third party services, including, without limitation, JULIANA SUTTON'S social channels, and platforms, and third-party videos, for the convenience of visitors, advertising purposes, or for other related functions related to JULIANA SUTTON'S services which JULIANA SUTTON may have not reviewed. Linking, embedding, or otherwise using such third-party content and services does not imply an advertisement or endorsement of any good, service, product, or otherwise, provided by such third party. JULIANA SUTTON is not responsible for any third-party content linked or embedded to or from its Website and expressly disclaims, without limitation, any responsibility for any third-party content, the accuracy of any information found on any third-party website, social channel, or platform, or the quality of products of services provided by or advertised on such third- party website, social channel, or platform. CLIENT’S use of any third-party content is at CLIENT’S own risk, and subject to the terms and conditions of such third-party’s website, social channel, platform, service, applications, product, or service. JULIANA SUTTON encourages CLIENTS to review the terms and conditions and privacy policy of any third-party website, social channel, platform, service, or application that CLIENT visits and be aware that a third-party website, social channel, platform, service, or applications may collect personal information and JULIANA SUTTON is not able to control any third party’s use of such technologies or how any third party manages the information gathered from such technologies.
6. Disclosures and Other Communication. JULIANA SUTTON reserves the right to send CLIENT messages through email, text messages, push notifications, telephone, or otherwise concerning Services for the purpose of informing CLIENT of issues, changes, additions to the Service, or of any JULIANA SUTTON related products and services. JULIANA SUTTON will not sell information to third parties that discloses a CLIENT’S identity or other personal identifying information.
7. Indemnification. CLIENT agrees to indemnify, defend and hold harmless JULIANA SUTTON, its managers, employees, agents and attorneys, against any and all liabilities, claims, actions, suits, proceedings, judgments, fines, damages, costs, losses and expenses (including settlement costs and/or reasonable attorneys' fees) arising from or relating to CLIENT’S use of the Website and the Services, and any material that CLIENT submits to or transmits, CLIENT’S violation of this Agreement, CLIENT’S infringement or violation of the rights of another, or termination of CLIENT’S access to the Website and the Services.
8. Charges. All charges are payable in United States Dollars (USD) or Brazilian real (BRL).
JULIANA SUTTON provides a single payment option or recurring monthly charges for membership plans. JULIANA SUTTON reserves the right to change its pricing and/or billing practices at any time, in its sole discretion. All calls or chats to and/or from JULIANA SUTTON are billed per session. The rate for all Services is posted on the Website and charged prior to the service through booked sessions. JULIANA SUTTON will not issue refunds. JULIANA SUTTON will schedule a makeup session if JULIANA SUTTON cannot provide a session at the scheduled date and time. JULIANA SUTTON reserves the right to reschedule a missed session to provide another session for missed sessions or sessions that are incomplete through no fault of JULIANA SUTTON.
9. Registration. CLIENT must open an account (“Account”) on the Website and provide accurate, up- to-date, and complete information. CLIENT must choose a password, which, together with CLIENT’S email address associated with the Account will constitute CLIENT’S identification information for the purpose of logging in to CLIENT’S Account. CLIENT is solely responsible for maintaining the confidentiality of CLIENT’S Account information and personal information. CLIENT remains solely responsible for activity on CLIENT’S account with the use of CLIENT’S password. If CLIENT shares their password with anyone, JULIANA SUTTON will not be held liable for any loss that may occur as a result thereof. CLIENT may not allow any other third party to use or access CLIENT’S Account. CLIENT must notify JULIANA SUTTON
10. Proprietary Rights. The content on or delivered through the JULIANA SUTTON Website, including, without limitation, all designs, text, messages, communications, documents, graphics, photographs, illustrations, trademarks, trade names, service marks, logos, information obtained from JULIANA SUTTON'S licensors, and other files or information (“Content”), and the selection and arrangement thereof, is proprietary property and protected by copyright, trademark, and other intellectual property laws under both United States and foreign laws. Any use of Content not expressly permitted by this Agreement and may violate copyright, trademark, and other laws. JULIANA SUTTON hereby authorizes CLIENT to view Content for non-commercial personal use only. CLIENT shall not record or otherwise copy any Content. Specifically, and without limiting the foregoing, CLIENT shall not use any audio recording or retention devices/technology in connection with Readings, and CLIENT will not otherwise record, copy, scan, or transcribe Readings, including Readings by phone, chat or direct message, without the prior written consent of the JULIANA SUTTON. All rights not expressly granted herein are reserved to JULIANA SUTTON and its licensors.
11. Client Submissions. By posting or submitting content (“hereinafter referred to as “Submissions”) by text message or email to JULIANA SUTTON or on the JULIANA SUTTON Website (regardless of the form or medium with respect to such content such as text, videos, photographs, audio or otherwise), CLIENT is giving JULIANA SUTTON the right to display or publish such content on the JULIANA SUTTON Website either in the form submitted or in the form of a derivative or adapted work, in our sole discretion), to store such content, and to distribute such content and use such content for promotional and marketing purposes. In connection with each of CLIENT’S Submissions, CLIENT affirms, represents, and/or warrants that: (i) CLIENT owns or has the necessary licenses, rights, consents, and permissions to use and authorize the Juliana Sutton in and to any and all such Submissions to include such Submissions in the manner contemplated by JULIANA SUTTON and this Agreement; and (ii) CLIENT has the written consent, release, and/or permission of each and every identifiable individual person in such Submissions to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of such Submissions in the manner contemplated by the JULIANA SUTTON and this Agreement. In furtherance of the foregoing, CLIENT agrees that they will not: (i) submit material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless CLIENT is the owner of such rights or has permission from their rightful owner to post the material and to grant the JULIANA SUTTON all of the rights granted herein; (ii) publish falsehoods or misrepresentations that could damage JULIANA SUTTON, the Website, or any third party; (iii) submit material that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate; or (iv) post advertisements or solicitations of business. JULIANA SUTTON reserves the right to edit, remove or not publish Submissions without prior notice.
Please note that JULIANA SUTTON does not want to receive Submissions containing confidential information from CLIENT and any Submissions received will be deemed NOT to be confidential.
12. Severability. If any provision of this Agreement is held by a court of competent jurisdiction to be unenforceable under applicable law, then such provision shall be excluded from this Agreement and the remainder of these Agreement shall be interpreted as if such provision was so excluded and shall be enforceable in accordance with its terms, provided, JULIANA SUTTON, that in such event this Agreement shall be interpreted so as to give effect, to the greatest extent consistent with and permitted by applicable law, to the meaning and intention of the excluded provision as determined by such court of competent jurisdiction.
13. Choice of Law. This Agreement shall be governed and construed in accordance with the laws of the State of California, excluding California’s choice of law principles, and all claims relating to or arising out of this contract, or the breach thereof, whether sounding in contract, tort or otherwise, shall likewise be governed by the laws of California, excluding California's choice-of-law principles.
